1. Acceptance
By accessing the Services, booking a meeting, submitting information, or purchasing a subscription, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.
2. Eligibility & Authority
You represent that you are at least 18 years old and, if acting on behalf of a business or carrier, that you are authorized to bind that entity to these Terms.
3. Description of Services
RND Hub provides support, guidance, technology access, and consulting designed to help trucking companies pursue government freight opportunities, build driver recruiting pipelines, maintain FMCSA-approved ELD compliance, and access partner programs (such as fuel, factoring, banking, insurance, and loan partners). The Services are informational and operational in nature; we are not your lawyer, accountant, broker, regulator, employer, or insurer.
4. No Guarantees
RND Hub does not guarantee any specific outcome. Without limitation, we do not guarantee government contract or freight awards, contract renewals, qualification under SAM.gov or any agency program, specific revenue, profit margins, load volume, freight rates, new hires, driver retention, compliance ratings, safety scores, audit results, or insurance outcomes. All hiring, dispatch, safety, operational, regulatory, financial, and legal decisions remain solely your responsibility.
5. Customer Responsibilities
- Comply with all applicable laws and regulations, including FMCSA, DOT, DOL, EEOC, ADA, state, and federal requirements.
- Provide accurate, current, and complete information and keep it updated.
- Make all employment, contracting, hiring, dispatch, and operational decisions independently.
- Maintain appropriate insurance, licensing, registrations, and authority.
- Use the Services only for lawful business purposes and not in a manner that could harm RND Hub, other customers, or third parties.
6. Subscriptions, Billing & Refunds
Subscriptions are billed at $40 per driver per month unless otherwise agreed in writing. Fees are billed in advance, are non-refundable except where required by law, and are exclusive of taxes. You may cancel at the end of your billing period; canceled subscriptions do not entitle you to a refund of fees already paid. We may change pricing on prospective notice.
7. Acceptable Use
You will not (a) reverse engineer, copy, or resell the Services; (b) interfere with security or operation; (c) misuse contact or driver information obtained through the Services; (d) use the Services to discriminate, harass, or violate any law; or (e) misrepresent your identity or authority.
8. Intellectual Property
RND Hub and its licensors own all rights in the Services, including software, content, trademarks, and the “RND Hub” name and logo. You receive only a limited, revocable, non-exclusive, non-transferable license to use the Services for their intended purpose.
9. Third-Party Services
The Services rely on or integrate third-party providers (including the LeadConnector / HighLevel booking widget, ELD hardware and software vendors, payment processors, and partner programs). RND Hub is not responsible for the acts, omissions, outages, accuracy, availability, or policies of any third party, and your relationship with any partner is governed by that partner’s own terms.
10. Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. RND HUB DOES NOT WARRANT ANY RESULTS OBTAINED FROM USE OF THE SERVICES.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RND HUB AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, FREIGHT, CONTRACTS, BUSINESS OPPORTUNITY, OR DATA, ARISING OUT OF OR RELATED TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, IN WHICH CASE THOSE LIMITATIONS APPLY ONLY TO THE EXTENT PERMITTED.
12. Indemnification
You will defend, indemnify, and hold harmless RND Hub and its affiliates from and against any claims, damages, liabilities, losses, fines, penalties, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use of the Services; (b) your operations, hiring, employment, contracting, dispatch, or safety decisions; (c) your violation of these Terms or any law; or (d) your infringement of any third-party right.
13. Independent Contractor
The parties are independent contractors. Nothing in these Terms creates an agency, partnership, joint venture, fiduciary, or employment relationship.
14. Dispute Resolution; Binding Arbitration; Class Waiver
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The seat of arbitration will be Wilmington, Delaware. Each party irrevocably waives the right to a jury trial and the right to participate in any class, collective, or representative action. Either party may bring an individual action in small-claims court for qualifying disputes. Nothing herein prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property or confidential information.
15. Governing Law & Venue
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. For any dispute not subject to arbitration, the parties consent to the exclusive jurisdiction of the state and federal courts located in Delaware.
16. Term & Termination
We may suspend or terminate the Services or your access at any time, with or without notice, for any reason, including breach of these Terms. Sections that by their nature should survive (including IP, disclaimers, limitations, indemnification, arbitration, and governing law) will survive termination.
17. Force Majeure
RND Hub is not liable for any delay or failure caused by events beyond our reasonable control, including acts of God, war, terrorism, civil unrest, labor disputes, supply-chain disruption, governmental action, network or utility failures, pandemics, or natural disasters.
18. Changes to Terms
We may update these Terms from time to time. The “Last updated” date above reflects the latest revision. Your continued use of the Services after changes become effective constitutes acceptance.
19. Miscellaneous
If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them freely. These Terms, together with the Privacy Policy and any written order forms, are the entire agreement between the parties on this subject.
